1.About these Terms
These Terms of Service (the “Terms”) are a legal agreement between you, an individual user of the myplays.ai services (a “Seller” or “User”, “you”), and Federal Group Ltd, a company registered in England and Wales (company number 10995182) with registered office at 20 Bedford Street, Floor 2, London WC2E 9HP, United Kingdom (“Federal”, “we”, “us”, “our”).
By signing in to the services, you agree to these Terms. If you do not agree, do not sign in.
These Terms govern your individual use of the services. They sit underneath a separate commercial agreement between Federal and your employer or the organisation that has subscribed you to the services (the “Client”), typically a Master Services Agreement or Order Form (the “Client Agreement”). Section 13 explains how these Terms relate to the Client Agreement and which prevails in the event of conflict.
2.What the services are
The myplays.ai services are a software-as-a-service product operated by Federal that provides Assistants (each an “Agent”) to professional business-to-business sellers and their managers.
Each Agent is an Assistant configured for a specific sales workflow, for example, researching a prospect, drafting outbound outreach, preparing for a meeting, or coaching a Seller through a deal review. Agents are powered by large language models supplied by third-party providers and are hosted on infrastructure provided by Federal's sub-processors (see the Privacy Policy, section 7).
Agents produce drafts and suggestions for the Seller. The Seller is the human in the loop. Agents do not autonomously send communications to prospects, customers, or any third party on a Seller's behalf.
3.Who can use the services
The services are available only to:
- Authorised Sellers and managers employed by, or formally engaged by, a Client that has an active Client Agreement with Federal; and
- Authorised Federal personnel for the purposes of operating, supporting, and improving the services.
You may sign in only if:
- you have been authorised by your employer (the Client) to use the services;
- you sign in using your corporate email address through your employer's identity provider (typically Microsoft Entra ID or Google Workspace);
- you are at least 18 years old; and
- you are not located in, ordinarily resident in, or accessing the services from a country subject to comprehensive UK or US sanctions.
The services are not intended for, or directed at, consumers or members of the general public.
4.Your account
4.1 Sign-in
You access the services using your corporate email and your employer's single sign-on (SSO). You will not be issued a separate password by Federal. Federal does not see or store your sign-in password.
4.2 Account security
You must:
- keep your sign-in credentials confidential and not share them with anyone, including colleagues;
- not allow any other person to sign in as you;
- promptly notify Federal at support@myplays.ai if you suspect your account has been accessed by an unauthorised person; and
- comply with your employer's information-security policies as they apply to your use of the services.
4.3 Account termination
Your right to use the services ends automatically if:
- your employment with, or engagement by, the Client ends;
- the Client Agreement ends, or the Client removes your authorisation;
- you breach these Terms in a material way; or
- Federal terminates these Terms in accordance with section 14.
5.Acceptable use
You agree that, when using the services, you will not:
- Misrepresent yourself or others. Use the services under a false identity, impersonate another person, or attempt to access another User's account.
- Process out-of-scope personal data. Submit special-category personal data (as defined by the UK GDPR, for example, data revealing racial or ethnic origin, political opinions, religious beliefs, trade-union membership, health data, sexual orientation, or biometric data used for identification) about any individual, including yourself, prospects, customers, or colleagues. The services are not designed to process special-category data and you must not use it for that purpose.
- Process children's data. Submit personal data about any individual under the age of 18.
- Use the services for unlawful, harmful, or harassing purposes. This includes using Agent outputs to harass, defame, defraud, stalk, or discriminate against any person; to send unsolicited communications in breach of applicable e-marketing laws (including the UK Privacy and Electronic Communications Regulations 2003 and the EU ePrivacy Directive); or to engage in any conduct that would breach applicable law.
- Attempt to break or circumvent the services. This includes attempting to reverse-engineer, decompile, or extract the source code of the services; bypassing access controls or rate limits; probing for vulnerabilities other than through a coordinated disclosure process agreed in writing with Federal; or using automated tools to scrape, harvest, or extract data from the services at scale.
- Misuse Agent outputs. Pass Agent outputs off as wholly your own original work in contexts where doing so would breach your employer's policies, a regulatory obligation, a professional code, or a contract with a third party (for example, by representing AI-generated content as human-authored in a tender response that prohibits AI use).
- Train competing models. Use the services, or any output of the services, to develop, train, or improve a product or service that is competitive with the services.
- Resell or sub-licence. Resell, sub-licence, rent, lease, or otherwise make the services available to any third party outside the Client's authorised users.
- Use the services for high-risk decision-making. Use Agent outputs as the sole basis for decisions that produce legal or similarly significant effects on individuals (for example, hiring, firing, credit, insurance, or legal advice). Agent outputs are drafts for a Seller's review, not decisions.
Federal may, with reasonable notice where practical, suspend or terminate your access if you breach this section.
6.Agent generated outputs
This section is the most important section to read.
6.1 What Agents do
Agents produce text (research summaries, draft emails, coaching prompts, talking points, suggested follow-ups) by combining your prompts with data drawn from Federal's sales methodology library, publicly available sources, and your Client's configured inputs. They produce that text using probabilistic large language models.
6.2 Agent outputs are drafts, not facts
Agent outputs may contain mistakes. They may state things that sound confident but are wrong. They may invent quotes, citations, statistics, job titles, company facts, or events that do not exist (a phenomenon commonly called “hallucination”). They may reflect biases present in the data the underlying models were trained on. They may be out of date.
You are responsible for reviewing every Agent output before you act on it, send it, share it, or rely on it. Treat every output as a starting draft from a junior colleague who is fast but unreliable: read it, sense-check it, correct it, and own the final version.
In particular, before sending any outbound communication drafted with the help of an Agent, you must:
- verify any factual claim about the recipient, their employer, or their industry;
- verify any quotation, statistic, or citation;
- confirm names, job titles, and company details;
- ensure the tone and content are appropriate for the recipient and consistent with your employer's brand and policies; and
- send the final version from your own email or messaging account, using your employer's own infrastructure. The services do not send communications to third parties on your behalf.
6.3 No warranty of accuracy
To the maximum extent permitted by law, Federal does not warrant that Agent outputs are accurate, complete, current, fit for any particular purpose, or non-infringing. Federal makes no representation that the same prompt will produce the same output across sessions or over time.
6.4 No professional advice
Agent outputs are not legal, financial, tax, regulatory, medical, or other professional advice and must not be treated as such. If you need professional advice on a matter, consult a qualified professional.
6.5 Your inputs and the Agent's training
Federal contractually requires its large-language-model sub-processor (currently Anthropic, PBC) not to use Client data submitted to the services to train its general-purpose models. See the Privacy Policy, section 5, for the detail.
7.Intellectual property
7.1 The services
Federal (and its licensors, including the providers of the underlying large language models) own all intellectual-property rights in:
- the myplays.ai services themselves, including its software, user interface, configuration, and methodology library;
- each Sales Play Agent's configuration, prompts, methodology, and supporting content; and
- Federal's name, logos, and brand.
Nothing in these Terms transfers ownership of any of this to you, your employer, or any third party. Federal grants you a limited, non-exclusive, non-transferable, non-sub-licensable, revocable licence to use the services during the term of your authorised use, solely for your professional sales activities on behalf of the Client.
7.2 Your inputs
You retain all rights in the content you submit to the services, for example, the prompts you type, the meeting notes you upload, and the call recordings you paste in (“Inputs”). You grant Federal a non-exclusive, worldwide, royalty-free licence to use the Inputs to provide the services to you and the Client, to operate and improve the services as described in the Privacy Policy, and to comply with applicable law.
7.3 Agent outputs
The legal status of Agent generated output under English law is unsettled. Without prejudice to that legal position:
- as between you and Federal, you and the Client may use Agent outputs for the Client's internal sales activities and external communications, subject to these Terms;
- Federal does not assert exclusive ownership over individual Agent outputs produced for your account;
- Federal makes no representation that Agent outputs are free from third-party intellectual-property claims, and you remain responsible under section 6 for reviewing outputs before use; and
- you must not register copyright, patent, or trade-mark rights in Agent outputs in any jurisdiction without first checking that the registration is lawful and consistent with the Client Agreement.
7.4 Feedback
If you send Federal feedback about the services (for example, a bug report, a feature suggestion, or a comment in a support ticket), you grant Federal a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, including improving the services. We will not identify you by name in any external use of feedback without your consent.
8.Privacy and data protection
Federal's processing of personal data through the services is described in the Privacy Policy at https://myplays.ai/privacy which is incorporated into these Terms by reference. The Privacy Policy sets out, among other things, Federal's role as data processor for Client data, the sub-processors Federal uses, how prospect data is handled, and your individual rights.
If there is a conflict between these Terms and the Privacy Policy on a privacy matter, the Privacy Policy prevails.
9.Security
Federal maintains technical and organisational security measures appropriate to the services, including encrypted authentication via WorkOS, encrypted transport (TLS) for all service traffic, role-based access controls, and the operational controls described in Federal's Cyber Essentials certification. Federal is certified to the UK Government's Cyber Essentials standard. Our current certification is valid from 14 May 2026 to 14 May 2027 and is independently assessed by an IASME-approved certifying body.
You must use the services from a device and network that meet your employer's information-security requirements. You must not sign in from a shared public device without taking reasonable steps to prevent another user from accessing your session.
10.Availability
The services are provided on a commercially reasonable best-efforts basis. Federal does not guarantee uninterrupted availability. Maintenance windows, third-party outages (including outages of WorkOS, Anthropic, OpenAI, Perplexity or the underlying cloud providers), and force majeure events may interrupt access.
Service-level commitments, if any, are addressed in the Client Agreement, not in these Terms.
11.Disclaimers
To the maximum extent permitted by applicable law, the services and all Agent outputs are provided “as is” and “as available”, without warranties or conditions of any kind, whether express, implied, statutory, or otherwise. Federal disclaims all such warranties, including any implied warranties or conditions of satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment.
Nothing in these Terms limits any warranty, condition, or remedy that cannot be limited or excluded under English law (including under the Consumer Rights Act 2015 to the extent it applies, although the services are not directed at consumers).
12.Limitation of liability
12.1 What is excluded
To the maximum extent permitted by law, Federal will not be liable to you, in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:
- loss of profits, revenue, business, anticipated savings, or goodwill;
- loss or corruption of data;
- loss arising from your reliance on an Agent output that you did not verify before acting on it;
- indirect, special, incidental, or consequential loss; or
- claim made by a third party (including a prospect or recipient of any communication you sent).
12.2 What is not excluded
Nothing in these Terms limits or excludes Federal's liability for:
- death or personal injury caused by Federal's negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be limited or excluded under English law.
12.3 Cap
Subject to section 12.2, Federal's total aggregate liability to you under or in connection with these Terms (across all claims, in any 12-month period) is capped at £100 (one hundred pounds sterling).
This cap reflects the fact that you, as an individual Seller, do not pay Federal directly for use of the services; your employer pays under the Client Agreement. Any commercial liability between Federal and your employer is governed by the Client Agreement, not by these Terms.
12.4 Allocation of risk
You acknowledge that this allocation of risk (including the disclaimers in section 11 and the limitations in this section 12) is reasonable given the nature of the services (a tool that produces drafts that a human Seller must verify before acting on) and the commercial context (no charge to you as an individual). You and Federal each agree to bear your own risks accordingly.
13.Relationship to the Client Agreement
These Terms govern your individual use of the services. The commercial terms between Federal and the Client (including the scope of the subscription, pricing, term, service levels, indemnities, and commercial liability) are in the Client Agreement.
In the event of any conflict between these Terms and the Client Agreement on a matter that the Client Agreement addresses, the Client Agreement prevails as between Federal and the Client. These Terms continue to apply to you, the individual Seller, on all matters not addressed by the Client Agreement.
You are not a party to the Client Agreement. If you have a question about the Client Agreement, raise it with your employer.
14.Term and termination
14.1 Term
These Terms apply from the first time you sign in to the services and continue for as long as you have an active right to use it.
14.2 Termination by you
You may stop using the services at any time. To request deletion of your individual account data, contact support@myplays.ai or follow the rights process described in the Privacy Policy.
14.3 Termination by Federal
Federal may suspend or terminate your access to the services, with or without notice, if:
- your authorisation by the Client ends;
- the Client Agreement ends or is suspended;
- you breach these Terms in a material way (in particular, section 5);
- Federal is required to do so by law or by a regulator; or
- Federal discontinues the services.
14.4 Effect of termination
On termination, your right to sign in and use the services ends immediately. Sections that by their nature should survive termination (including sections 6.3, 6.4, 7, 8, 11, 12, 13, 15, and 16) survive.
15.Changes to these Terms
Federal may update these Terms from time to time to reflect changes to the services, applicable law, or its operating practices. The current version, with its effective date, will always be available at https://myplays.ai/terms.
Where a change is material (for example, a change to the limitation of liability, to the acceptable-use rules, or to the Agent output disclaimers), Federal will give Clients and affected Sellers at least 30 days' notice before the change takes effect. Notice will be given by updating these Terms and, where practical, by notice in the services or by email to the Client's designated contact.
Your continued use of the services after a change takes effect constitutes acceptance of the updated Terms. If you do not accept a material change, stop using the services before the change takes effect and contact your employer.
16.General
16.1 Governing law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the laws of England and Wales.
16.2 Jurisdiction
The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
16.3 Entire agreement
These Terms, together with the Privacy Policy and (where applicable) the Client Agreement, constitute the entire agreement between you and Federal in relation to the services and supersede any prior agreement or understanding on the subject.
16.4 No waiver
A failure or delay by Federal to enforce any provision of these Terms is not a waiver of that provision or of Federal's right to enforce it later.
16.5 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
16.6 Assignment
You may not assign or transfer any of your rights or obligations under these Terms. Federal may assign or transfer its rights and obligations under these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets relating to the services.
16.7 Third-party rights
A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms. This does not affect any right or remedy of a third party that exists or is available apart from that Act.
16.8 Notices
Notices to Federal under these Terms should be sent to support@myplays.ai or to the registered office in section 1. Notices to you may be given by email to the address you used to sign in, by in-service notice, or, where appropriate, through the Client.
